Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services offered by Prescience, Inc. ("Prescience," "we," "us," or "our"). By accessing or using our services, you agree to these Terms. If you do not agree, do not use our services.

If you use our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Prescience provides technology and administrative services related to employer-sponsored health benefits, including tools for plan administration, cost forecasting, and related financial services through partner institutions. We are a financial technology company, not an insurance carrier, bank, or licensed medical provider unless otherwise specified in a separate written agreement.

We may modify, suspend, or discontinue any part of our services at any time. Features described on our website are subject to change and may require a separate agreement.

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You agree not to:

• Use our services for any unlawful purpose or in violation of applicable regulations;
• Attempt to gain unauthorized access to our systems or data;
• Interfere with or disrupt the integrity or performance of our services;
• Upload malicious code or misleading information;
• Reverse engineer or copy our services except as permitted by law; or
• Use our services to transmit PHI except under appropriate agreements and safeguards.

Fees for our services are set forth in your order form, statement of work, or other agreement with Prescience. You authorize us and our payment partners to charge applicable fees. Late payments may result in suspension of services. Taxes are your responsibility unless otherwise stated.

Prescience and its licensors own all rights in our platform, software, branding, and content. We grant you a limited, non-exclusive, non-transferable license to use our services during your subscription or engagement term. You retain ownership of your data; you grant us a license to use your data as necessary to provide and improve our services.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL MEET YOUR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESCIENCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR OUR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless Prescience from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes will be resolved in the state or federal courts located in Delaware, unless otherwise required by applicable law. You waive any objection to venue in such courts.

We may revise these Terms at any time. Continued use of our services after changes become effective constitutes acceptance of the revised Terms. We will indicate the date of the latest revision at the top of this page.
